Service Agreement for Online Birth Course
This Service Agreement ("Agreement") is made and entered into, by and between One Mama Midwife Pty Ltd and Lauren Brenton, a registered midwife, with a principal place of business at 156 The Boulevarde Caringbah, and you as the Client, with contact details provided at the time of purchase ("Client").
1. Scope of Services:
Provider agrees to provide an online birth course ("Course") designed to educate and prepare the Client for childbirth and related topics. The Course shall consist of video lessons, written materials, interactive activities, and other resources to be accessible through the Provider's online platform. All information provided is of general nature and does not constitute specific medical advice. Always seek medical advice from your health professional.
2. Course Description:
The Course aims to cover the following topics, but not limited to:
- Pregnancy and its stages
- Labour and birthing process
- Pain management techniques
- Breastfeeding and postnatal care
- Newborn care
- Emotional well-being during and after pregnancy
3. Payment and Access:
Client shall pay the agreed-upon fee as stated in the payment invoice before gaining access to the Course. Once payment is received, the Provider will grant the Client access to the Course for a period of 1 year, starting from the date of payment confirmation.
4. Intellectual Property:
The Course and all related materials provided by the Provider are protected by copyright and other intellectual property laws. The Client agrees not to reproduce, distribute, modify, or create derivative works of the Course materials without prior written consent from the Provider.
5. Confidentiality:
Both parties agree to treat all information shared during the Course, whether through private discussions or Course materials, as confidential. This includes personal experiences shared by other participants. Confidential information shall not be disclosed to third parties without the express consent of the disclosing party.
6. Disclaimer:
The Provider is not a medical doctor, and the Course is not intended to replace professional medical advice. The information provided in the Course is for educational purposes only. The Client should consult with a qualified healthcare professional regarding any medical concerns or conditions related to pregnancy or childbirth.
7. Client Responsibilities:
The Client agrees to:
- Respect the Course guidelines and conduct themselves in a respectful manner during all interactions with other participants and the Provider.
- Complete the Course activities and assignments in a timely manner to gain maximum benefit from the Course.
- Notify the Provider of any technical issues or difficulties accessing the Course platform promptly.
8. Termination:
Either party may terminate this Agreement at any time if the other party breaches any of its obligations under this Agreement. In case of termination, the Client shall not be entitled to a refund for the Course fee.
9. Limitation of Liability:
The Provider shall not be held liable for any direct, indirect, incidental, special, or consequential damages arising out of or in connection with the Course, whether based on contract, tort, or any other legal theory.
10. Governing Law and Jurisdiction:
This Agreement shall be governed by and construed in accordance with the laws of NSW, Australia. Any dispute arising out of or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in NSW, Australia.
11. Entire Agreement:
This Agreement constitutes the entire understanding between the parties concerning the subject matter hereof and supersedes all prior and contemporaneous agreements, whether oral or written.
The parties hereto have executed this Service Agreement as of the Effective Date.
